You are viewing the website for CrowdStreet, Inc., a Delaware corporation established in 2013 (“CrowdStreet”). CrowdStreet maintains a commercial real estate investor technology platform through which companies that develop and own commercial real estate, known as the “sponsors” of investment opportunities (the “Sponsor(s)”), offer investment opportunities to qualified investors.  CrowdStreet also provides technology and services to developers, owners, and managers of commercial real estate assets.

Investment opportunities posted on the site can be accessed by investors via three means: 1) direct investing via an online marketplace (the “CrowdStreet Marketplace” or the “Marketplace”); 2) opening a Private Managed Account with CrowdStreet’s registered investment advisor affiliate, CrowdStreet Advisors LLC  (“CrowdStreet Advisors”) ; and 3) investing in investment funds (the “Funds”) managed by CrowdStreet Investments, LLC (“CrowdStreet Investments”). Together, CrowdStreet Advisors and CrowdStreet Investments wholly owned subsidiary of CrowdStreet, (collectively, the “Affiliates”).

CrowdStreet, Inc., the Marketplace and its Affiliates (other than CrowdStreet Advisors) do not provide investment advice.  CrowdStreet Advisors does provide investment advice, but only to clients under a valid Advisory Services Agreement. The CrowdStreet Marketplace

The Marketplace is an internet-based technology platform that facilitates administration for investments.  Since inception it has operated, and continues to operate, on a strictly non-advisory basis. By accessing the Marketplace through this website and any web pages thereof, you agree to be bound by the Terms of Use, Privacy Policy and other policies and procedures posted on the website. The majority of investment opportunities on the Marketplace are offered under Rule 506 of Regulation D and are only suitable for, intended for and available to Accredited Investors and Qualified Purchasers, who are registered members of CrowdStreet, are familiar with, are willing to accept the risks associated with private investments, and are able to bear the loss of their entire investment. Non-Accredited Investors may participate in occasional investment opportunities offered under Regulation A+, in accordance with exemptions offered under the Securities Act of 1933.

Generally

All prospective investors (except investors who only wish to invest in Regulation A investment opportunities) must certify that they are Accredited Investors, as defined by Rule 501 of Regulation D in the Securities Act of 1933, as amended, or as Qualified Purchasers, as defined by the Investment Company Act of 1940, as amended. In each case, all prospective investors certifying that they are either an Accredited Investor or a Qualified Purchaser must provide supporting documents or third-party verification of such status, certify they are eligible for this type of illiquid investment, and must acknowledge that they have received and read all investment materials. WE ARE ENTITLED TO AND WILL RELY UPON YOUR REPRESENTATIONS.  You agree that, should any material changes occur that might affect your status as an Accredited Investor or Qualified Purchaser, you shall immediately provide us with such information in writing.

If you choose to invest in certain of the investments made available via the CrowdStreet Marketplace or other CrowdStreet affiliates, you will be required to enter into various agreements regarding the investments (the “Investment Documents”) between you and the CrowdStreet entity or Sponsor offering such investments.  In all events, the commercial transactions which are the subject of the Investment Documents will be governed by such Investment Documents and not these terms, and in the event of any conflict between the terms of the Investment Documents and these terms, the Investment Documents will control. We reserve the right to reject, cancel, interrupt, remove or suspend any investment offered on the CrowdStreet Marketplace and are not liable for any damages as a result of any of these actions.
